Disclosure Statement
Dear Mrs . Slade;
In March of this year, one of our shareholders attended an Ethics
Review Board meeting to discuss with this board his interest and
involvement in K.B . Equipment and Service. This shareholder who
is also a City of Lansing full-time employee indicated to myself
that the Board had some questions regarding what K.B. Equipment
and Service is all about.
K.B. equipment and Service is a Michigan Corporation established
approximately two years ago. This firm is the marketing arm for
manufacturers who are involved in the manufacturing of police and
fire related equipment/products . This firm has marketing agreements
with Federal Signal Corporation, Sage International Corporation,
Majik Graphics , and B.E. Meyers , Inc. . These corporations through
its many distributors have sold products to the City of Lansing.
K.B. Equipment and Service sales staff call on end users . The staff
informs the end user of the product mix being offered by the
manufacturers this firm represents . If the customer/end user is
interested in any of these products , this information is then given
to the local distributor. The local distributor will then do the
necessary follow-up calls . At no time does K.B. equipment and Service
set pricing or sell directly to the end user. All sales are done
through the established independent distributor network.
This firm does receive a marketing fee for our services . This fee will
vary depending on the total sales in our area of responsibility. This
fee goes directly to K.B. Equipment and Service, not to Mr. Knechtel .
Being Mr. Knechtel is a shareholder, he could receive some financial
benefit, however, this will depend on the actions of the Board of
Directors .

The City of Lansing has for over forty years purchase Federal Signal
Products . These products are presently being used within the Police,
Fire, Parks and Recreation, Parking Division, and Department of Public
Works . This is one of the firms we presently represent. Because of
this , we feel it necessary to report to you and the Ethics Review Board
of Mr. Knechtel ' s indirect relationship he has when the City of Lansing
purchases Federal Signal Products through the distributor network.
To avoid any conflict or appearance of a conflict because of Mr.
Knechtel ' s holding within K.B. Equipment and Service, this firms
sales staff will not sit on any committee that writes specifications
for any products sold by our distributor network to the City of
Lansing.

Disclosure Statement of Mr. Knechtel
Dear Mrs. M. Slade - Clerk;
This firm has been informed by one of our shareholders that he must file an
Affidavit of Disclosure of a possible Conflict of Interest with the City of
Lansing. He feels that this disclosurer should be made because of the amount
of shares Mr. Knechtel has with Custom Ordered Police Supplies. Mr. Knechtel
informed us that if the City of Lansing purchases products from us, he could
recieve some financial benefit by way of possible dividend.
We have learned that the City of Lansing Central Garage is planning on purchasing
police equipment for their police fleet that can only be purchased from Custom
Ordered Police Supplies, Inc. . This firm is the sole source within the State
of Michigan for the AEDEC Pro-Straint Plastic Seat. The seat manufacturer will
only ship this product into the State of Michigan to this firm. If the City of
Lansing purchases this product, we can assure you and the Ethics Review Board
that Mr. Knechtel will not receive any direct financial benefit. It is true
however that Mr. Knechtel could receive some indirect benefit based on the
actions of the Board of Directors. I at this time can not tell you or other
board members what this indirect benefit might be.
To avoid any appearence of a conflict, we have discussed this matter with Mr.
Knechtel. He has informed us that he will not get involved orsit on any board
or committee that writes specifications or suggest products to the City of
Lansing that this firm markets and sells within the State of Michigan.
Custom Ordered Police Supplies, Inc. , would like to do business with the City of
Lansing. Hopefully this can take place even though one of our shareholders is a
full-time City employee. With the assurances we have received from Mr. Knechtel,
we feel that there will be no conflict of interest when we do business with the
City.

OPINION #
The Board of Ethics has received an "Affidavit of Disclosure" from
a Lansing police officer who is a full-time employee with the City
and is an officer p,$A employee) o-f a—fi7m� which firm desires to do
business with the city .
OPINION
State law, specifically MCLA 15 . 322, provides as a general rule
that :
Sec. 2 (1 ) No public servant shall be a
party, directly or indirectly, to any contract
between himself and the public entity of which
he is an officer or employee, except as
provided in section 3.
(2) No public servant shall directly or
indirectly solicit any contract between the
public entity of which he is an officer or
employee and (a ) himself, (b) any firm
(meaning a co-partnership or other
unincorporated association) of which he is a
partner, member or employee; (c) any private
corporation in which he is a stockholder
owning more than 1 % of the total outstanding
stock of any class where such stock is not
listed on a stock exchange or stock with a
present total market value in excess of
$25, 000. 00 where such stock is listed on a
stock exchange or of which he is a director,
officer or employee; or (d) any trust of which
he is a beneficiary or trustee; no shall he
take any part in the negotiations for such a
contract or the renegotiation thereof or
amendment thereto or in the approval thereof,
nor shall he represent either party in the
transaction; except as provided in section .

MCLA 15 . 324 provides for a statutory exception to the above-quoted
general statutory prohibitions .
MCLA 15. 324 provide that a company, which is the lowest qualified
bidder pursuant to a sealed bid process with public notice may do
business with the City even though an officer or employee of the
firm is a full-time city employee. The selection and/or
utilization of a company, which has as an officer or employee, a
full-time city employee, by any other process is prohibited. Even
if the company which has an officer or employee a full-time City
employee receives a contract from the City because the company is
prohibited from renegotiation the contract, making amendments to
the contract or making additional payments which are not authorized
by the contract to the company.
Although MCLA 15. 324 provides for a statutory exception to MCLA
15. 322, the Board determined that the officer 's affidavit of
disclosure and supporting testimony presented insufficient
information upon which an opinion could be issued. Therefore, the
Board advises the officer to provide a written description of his
businesses and a detailed statement of his intent to do business
with the City of Lansing. The Board further advises that the
officer seek legal advice concerning his potential conflict of
interest in this matter. / �..

its many distributors have sold products to the City of Lansing.
K.B. Equipment and Service sales staff call on end users . The staff
informs the end user of the product mix being offered by the
manufacturers this firm represents . If the customer/end user is
interested in any of these products , this information is then given
to the local distributor. The local distributor will then do the
necessary follow-up calls. At no time does K.B. equipment and Service
set pricing or sell directly to the end user . All sales are done
through the established independent distributor network.
This firm does receive a marketing fee for our services . This fee will
vary depending on the total sales in our area of responsibility. This
fee goes directly to K.B. Equipment and Service, not to Mr. Knechtel .
Being Mr. Knechtel is a shareholder, he could receive some financial
benefit, however, this will depend on the actions of the Board of
Directors .

The City of Lansing has for over forty years purchase Federal Signal
Products . These products are presently being used within the Police,
Fire, Parks and Recreation, Parking Division, and Department of Public
Works . This is one of the firms we presently represent. Because of
this , we feel it necessary to report to you and the Ethics Review Board
of Mr. Knechtel ' s indirect relationship he has when the City of Lansing
purchases Federal Signal Products through the distributor network.
To avoid any conflict or appearance of a conflict because of Mr.
Knechtel ' s holding within K.B. Equipment and Service, this firms
sales staff will not sit on any committee that writes specifications
for any products sold by our distributor network to the City of
Lansing.

Per our discussion of 1/12/94 , the City of Lansing will now
order direct from Federal Signal as opposed to ordering from any
Michigan based distributor. By ordering direct from Federal
Signal, this will preclude Don Knechtel of KB Equipment, also a
City of Lansing employee, from receiving any form of compensation
for City of Lansing purchases. I have informed my staff to contact
you for product pricing including potential trade in opportunities.
If this is incorrect, please contact me with the correct
information.
When I receive your letter reiterating the fact that Mr.
Knechtel will not receive compensation for any City of Lansing
purchase, I will release the purchase order for eleven ( 11) Vector
Bars . I appreciate your assistance in this matter. I believe we
have eliminated a conflict of interest between the City, Federal
Signal and Don Knechtel.
