Attached for placement on file, prior to public hearing or Council action, is the proposed
Memorandum of Understanding with the Lansing Housing Commission containing the details of
the property transfer, including a statement of non-necessity for ownership of the property for
public purposes. Also, as Exhibits A-1 and A-2 are the lists of properties to be transferred,
including address, parcel ID, and legal descriptions. A-1 is all subject properties within Ingham
County, and A-2 is all subject properties within Eaton County.

1. PURPOSE
This Memorandum of Understanding Regarding Economic Development("MOU")made this day
of , 2020, establishes the intentions and actions to be taken by Lansing; Housing Commission
(Commission)operating pursuant to Act 18 of the Public Acts of Michigan, 1933,MCL 125.651 et seq.,as
amended, and the City of Lansing, Michigan ("City") collectively known as ("the Parties") regarding the
transfer of all property held by City or the Commission, for the purposes of the Commission pursuant to
the Act, into the sole name of the Commission.
The purpose of this Memorandum is to declare the intentions of the parties, mutually agree upon
concepts,identify required actions,and commit to activities that will help ensure completion of this venture.
Both parties are setting forth in writing a framework so each can pursue certain aspects of the matter set
forth herein.
2. HOLD HARMLESS & INDEMNIFICATION
The Commission agrees to defend, indemnify, and hold harmless the City, its agents, employees,
volunteers, directors, officers and representatives, from and against any and all claims, suits, actions or
demands and the Commission agrees to indemnify and hold harmless the City against any judgments,
including attorney fees damages, costs, losses, and expenses, in any manner resulting from or arising out
of any properties transferred pursuant to this MOU, including but not limited to claims made by
governmental entities, corporations, or private individuals. The Commission further agrees that it will be
responsible for,defend,and fund the defense for any such claim; suit, action or demand and the City shall
have the right to select legal counsel for such defense. The Commission further agrees that it will pay any
judgment obtained as a result of such claim, suit,action or demand, The Commission further agrees that it
will make any and all payments due as a result of such claim,suit,action or demand,by settlement approved
by the City. Any and all payments due and owing by the Commission under this Agreement shall be made
on an ongoing basis,in any event not later than ten(10).days after demand is made by any person an behalf
of the City, and any judgment, settlement, or other resolution owed by the Commission under this
Agreement shall be paid not later than twenty (20) days after the sums are owed under such judgment,
settlement, or other resolution. This paragraph shall be binding upon and inure to the benefit of the
Commission and the City and their respective heirs, successors, and permitted assigns. Neither the
Commission nor the City may assign their respective rights, duties, or obligations under this Agreement
without the express written consent of the other parties. This paragraph shall be binding and effective for
so long as any liability of any nature exists under this Agreement.
3. PILOT AGREEMENTS
The Parties of this agreement agree that Commission pursuant to State statute,will not pay general ad
valorem property taxes but rather will make payments in lieu of taxes(PILOT). This will be achieved via
Lansing City Ordinance, subject to City Council's sole discretion and action, or alternatively as provided
by Michigan Act 346 of 1966, as amended, MCL 125.1415a.
4. DEED TRANSFER AND DECLARATION OF TRUST
Upon execution of the previous two sections,City will transfer its interest in the 227 properties currently
deeded in the name of City for the benefit of Commission to the Commission. This will be achieved through
individual quit claim deeds. Cost for recording of these deeds will be responsibility of Commission.
Following this transfer, the Commission will take any and all necessary steps to transfer or initiate a
declaration of trust for public and/or low income housing for each of the properties into its own name or in
the event of sale into the name of a qualifying entity other than the City.
5. STATEMENT OF NECESSITY
The City acknowledges and states that nominal ownership of the properties is not necessary for
public purposes, and that transfer to the Commission pursuant to this MOU will allow greater flexibility
and financing options to increase the level and quality of services provided to the public by the Commission.
b. COSTS AND EXPENSES
Each of the parties will bear its own expenses relating to the proposed transactions including
preparation of any and all agreements, deed recording, real estate appraisal, and any other documents
required, unless otherwise agreed to in writing or specified in this MOU.
7. NOTICES
Notice from one party to another relating to this MOU is effective if made in writing(e-mail)and
delivered to the recipient's address, e-mail address by any of the following means: (i) hand delivery; (ii)
registered or certified mail, postage prepaid, with return receipt requested;(iii)ordinary first-class mail or
express mail, postage prepaid; (iv) Federal Express, UPS, or like overnight courier service; or(v) e-mail
with request for assurance of receipt in a manner typical with respect to communications of that type.
Notice made in accordance with this section will be deemed delivered on receipt if by hand or electronic
transmission, on the third business day after mailing if mailed by first-class, registered or certified mail,or
on the next business day after mailing or deposit with an overnight courier service if delivered by express
mail or overnight courier.
The notice information for each party is stated below. The notice information for a party may be
changed by the party from time to time, by providing notice thereof to all other parties in the manner
provided in this Section.

8. PUBLICITY
The City will work collaboratively to compile,edit and share pertinent high level information in a
coordinated manner to minimize duplication of effort,especially when communicating with the community
and media. Except for information determined by the Office of the City Attorney to be required by law to
be disclosed,no information shall be shared publicly until such time as mutually agreed to by both the City
and Commission.
9. MISCELLANEOUS
This Memorandum is binding only to the extent that the terms herein are mutually agreed to by the
Parties. It is hereby acknowledged by the City that Commission may assign its rights or obligations of this
MOLL to an affiliated entity only with written consent from the other party, which consent shall not be
unreasonably withheld,conditioned or delayed. Nothing in this MOU,expressed or implied, is intended to
confer upon any person, other than the parties and their respective successors and permitted assigns, any
rights or remedies whatsoever. No waiver of a provision of this MOU constitutes a waiver of any other
provisions, whether or not similar, nor is a waiver a continuing waiver. No waiver is binding unless it is
executed in writing by the party who is giving the waiver. If any provision of this MOU is held by a court
of competent jurisdiction to be invalid,void or unenforceable,the remainder of the provisions of this MOU
will remain in fill force and effect and will in no way be affected, impaired or invalidated. This MOU
constitutes the entire agreement and understanding between the parties relating to the Project, and it is
agreed that any modification of the terms of this MOU is of no effect unless reduced to writing and executed
by all parties.This MOU may be executed in counterpart by each party,and digital or electronic signatures
will be accepted. This MOU may not be executed by the City until it has been approved by City Council,
in its sole discretion, after it has been placed on file with the City Clerk for 30 days, in compliance with the
City Charter.
