FLOWAGE EASEMENT This Agreement made this day of , 2013 between JONES PROPERTY DEVELOPMENT, LLC, a Michigan limited liability company,with offices at3800 Hagadorn Road, Okemos Michigan 48864 ("Owner" or"Grantor"), and the CITY OF LANSING, a Michigan municipal corporation with offices at 124 W. Michigan Avenue, Lansing,.Michigan 48933 ("City" or"Grantee"), as follows: RECITALS 1. Owner owns and is developing the real property described on Exhibit A which is attached and incorporated by reference(the "Property"). 2. Owner has constructed storm water collection and treatment facilities across a portion of the Property developed as a golf course (the "Golf Course Drainage System Facilities")that is expected to remain in private ownership. The Golf Course Drainage System Facilities transports and also provides for stormwater collection and treatment and an outlet to the Herron Creek Drain from roads and public facilities dedicated to and owned by the City(the "City Right-of-Way"). The Golf Course Drainage System Facilities and City Right-of-Way are shown in the as-built plans prepared by KEBS, Inc.,in Project No. 80233.CON. 3. Owner and the City wish to enter into this Agreement for the grant of a Flowage Easement to the City on the terms set forth in this Agreement. NOW, THEREFORE, IT IS AGREED: 1. Grantor does grant and convey to Grantee a perpetual non-exclusive easement appurtenant for the flow of water from the City Right-of-Way over those portions of the Property described in Exhibit B, attached and incorporated by this reference. 2. This grant of easement is limited to the flow of water across the described easement area and does not authorize Grantee to enter upon the easement area for any purpose, except as provided in paragraph 5 below. 3. Grantee is not authorized by this easement to perform any excavation work on the premises. 4. Grantor agrees to keep the easement area free of obstruction and to not cause any obstruction of the easement area or obstruct the flow of water or otherwise reduce the easement area by placement of fill or any permanent or temporary structure,vegetation, or substance within the easement area without the prior written permission of Grantee. 5. Grantee shall have the right to inspect the operation of the easement on prior notice to Grantor. Such inspection shall be made as expeditiously as possible and at such times and in such manner as to minimize interference with the golf course use of the Property. This Agreement shall become effective upon its execution by Grantee and shall be binding upon the successors and assigns of each parry. This instrument is exempt from real estate transfer taxes pursuant to Section 5(a) of 1966 PA 134; MCL 207.505(a) and Section 6(a) of 1993 PA 330; MCL 207.526(a),because the consideration is less than $100.00. The Grantor and City have executed this easement as of the day and year first above written. Grantor hereby conveys and warrants to City, its successors and assigns, a public utility storm sewer easement that includes the rights to lay, install, maintain, construct, operate, repair, replace, renew, remove and inspect storm sewer facilities, together with all necessary and convenient equipment, facilities, pumps, pipes, lines, connections therefore, and all other fixtures and appliances appurtenant thereto (herein referred to as "storm sewer") and to use and operate, by means thereof, a system for the transportation of stormwater runoff over, upon, across, in, through and under the property, in the City of Lansing, Ingham County, Michigan, more particularly described on EXHIBIT A attached and incorporated by this reference, within the "easement property' legally described on EXHIBIT B attached and incorporated by this reference. 2. In addition to the rights granted in Paragraph 1 above, this easement grants the following additional rights to the City: a. To cut, trim and remove any vegetation which inhibits the City's ingress and egress to the easement property, or the maintenance, repair, cleaning, replacement and removal of the storm sewer. b. To use the easement property for any other use consistent with or incidental to the storm sewer. C. To prohibit the Grantor from any use or occupancy of the easement property that interferes with the City's use and occupancy of the easement property under the terms of this easement. 3. The City, by acceptance of this easement, covenants and agrees to the following: 1 a. To restore the easement property to substantially its original condition, provided, however, the City shall not be required to repair or replace any structure or improvement constructed on the easement property without the City's prior written consent, or vegetation, including trees, removed, destroyed, or damaged as a consequence of the City's exercise of its easement rights within the easement described herein. b. To conduct all its activities in a good and workmanlike manner and in such a manner as to minimize interference with Grantor's golf course use of the easement property. 4. This easement is non-exclusive and perpetual. 5. This easement is further subject to the restriction that Grantor, its transferees, heirs, successors and assigns shall not use, occupy or interfere with the City's use and occupancy of the easement property for storm sewer use and purposes and shall not construct any structure or other improvement or plant any trees on the easement property without the express advance written consent of the City, signed by the City Engineer. 6. The parties acknowledge that Grantor operates a golf course on a portion of the easement property and receives a benefit from minimizing disruption of this golf course use. In consideration of Grantor's interest in the unobstructed use of the golf course, the parties agree that for other than emergency storm sewer work performed by the City under this easement, if proposed storm sewer work is expected to include excavation or obstruction of the easement property, before such work is commenced, the City will provide written notice to Grantor and will negotiate with Grantor for Grantor to perform the work at its sole cost and expense and in accordance with the City's otherwise applicable rules and regulations, time schedule, plans and specifications, and inspection requirements. If the parties do not reach agreement, within thirty (30) day of City's notice to Grantor of the proposed storm sewer work, on a written contract for Grantor's performance of the work, or if Grantor declines in writing to perform the work in accordance with the City's requirements, then the City's obligations under this paragraph shall be deemed fulfilled and the City may otherwise provide for the storm sewer work. 7. This easement and rights herein granted may be assigned by the City, provided its successor in interest is a public body, utility or entity. 8. Grantor and the City, their heirs, successors, transferees, and assigns, are the only parties entitled to bring an action to enforce the rights and obligations of this easement, 9. The Grantor acknowledges that Grantor it is not aware of any other person or entity which has any right, title or interest in the easement property. 10. The terms, conditions, reservations, and easement rights herein contained shall be covenants running with the land and shall bind and inure to the benefit of the parties, and their respective heirs, successors, transferees and assigns. 11. If any terms or conditions of this easement or the application thereof to any other person or entity or circumstance shall at any time or to any extent be held by a court of competent jurisdiction to be invalid, illegal or unenforceable, the remainder of this easement and the application of the terms and conditions to persons, entities or circumstances (other than those to which it is held invalid, illegal or unenforceable) shall not be affected thereby and shall be enforceable to the fullest extent permitted by law. 2 12. This instrument contains all the terms and conditions of this easement as agreed upon between the parties hereto, except as the parties may hereafter agree to in writing. This instrument is exempt from real estate transfer taxes pursuant to Section 5(a) of 1966 PA 134; MCL 207.505(a) and Section 6(a) of 1993 PA 330; MCL 207.526(a), because the consideration is less than $100.00.
