HomeMy WebLinkAboutTerminalBuildingRP RULES OF PROCEDURE of the TERMINAL BUILDING BOARD OF CONTROL of CAPITAL CITY AIRPORT LANSING, MICHIGAN 1 . Definition "Airport" means Capital City Airport. "City" means City of Lansing, Michigan. "Commission" means the Michigan Aeronautics Commission. "Board" means the Building Board of Control . "Terminal Building" means the terminal building on the Airport and the ground underlying said building. "Executive Officer" means the Board's representative empowered to act with full authority of the Board within broad policies and programs, as established by the Boa rd. "Building Manager" means the appointee of the Board, who under the supervision of the Executive Officer, shall be responsible for the day-to-day operation of the building. 2. Meetings The Board shall meet in the Terminal Building in June and December of each year. Whenever the convenience of the public or of the parties may be promoted, or delay or expense may be prevented, the Board may hold meetings, hearings or proceedings at any other place designated by it. - 1 - Rules of Procedure of the Terminal Building Board of Control 3. Election of Officers and Voting At the June meeting each year, the Board shall elect from among its members a Chairman, a Vice Chairman, an Executive Officer, and a Secretary to serve for one (1) year and, annually, thereafter, shall elect such officers; all to serve until their successors are appointed and qualified. Four (4) members shall constitute a quorum, and no action shall be taken by less than a majority of the Board. 4. Records of Board The Secretary shall be responsible for recording and disseminating minutes of all Board meetings. All records other than minutes, pertaining to the Board's operation, shall be main- tained in the Terminal Building. 5. Operations of Board The Board shall, at its own expense, maintain the Terminal Building in presentable condition and shall be responsible for all maintenance, repair, rehabilitation and operation of said building. 6. Execution of Contracts and Documents Such applications, assurances, contracts and other instruments as are necessary or proper in the Board's performance of its duties and the exercise of its powers may be executed in its name by the Chairman, Vice Chairman or Executive Officer of the Board and attested by its Secretary or by a member; provided, however, that the Board may by resolution from time to time prescribe any other form or method - 2 - Rules of Procedure of the Terminal Building Board of Control of execution. Correspondence may be signed on behalf of the Board by any of the Board's officers or its Building Manager. 7. Hiring of Building Manager, Employees and Contractors A . The Board with the approval of the Commission shall appoint as its Building Manager, the Commission's Airport Manager, who shall be responsible to the Board's Executive Officer. B. The Board may hire those employees or contractors, as required, may make such purchases as are necessary, may enter into such maintenance contracts as are deemed prudent and from time to time may make such other arrange- ments with private parties, the City, or the Commission, as the Board may determine to be necessary in the operation of the Terminal Building . C . The Board shall furnish space, free of charge, to the Commission; provided, however, that the Commission shall utilize its own employees, where feasible, in providing necessary maintenance, administrative and operational services without charge to the Board in lieu of rental payments . 18. Financial Operations, Fiscal Year, ;accounting and Purchasing A. The Board shall conduct its financial operations in accordance with the fiscal laws and procedures of the State of Michigan . B. The fiscal year of the Board shall conform to the fiscal year of the State of Michigan. - 3 - Rules of Procedure of the Terminal Building Board of Control C . For purposes of fiscal administration and management of the Airport and the Terminal Building, financial and accounting records of the Board shall with the approval of the Commission be maintained by the Accounting Section of the Commission. D. All purchasing for the Building's operation shall with the approval of the Commission be undertaken by the Commission upon the request of the Board in accordance with the Commission's conventional purchasing procedures. Payments for such purchases shall be made by the Commission from the Revolving Fund of the Board. All purchasing or disbursing on account of the Terminal Building's operation shall be done in accordance with State of Michigan accounting procedures, and shall be authorized by the Executive Officer. 9. Budget Prior to the first day of June, each year, the Executive Officer shall prepare a budget for the operation of the Terminal Building. Upon the adoption of said budget by the Board, such budget shall be the basis for financial operations during the subsequent fiscal year, and all purchases and disbursements authorized by the Executive Officer on account of the Board must be covered by an appropriate budget allocation. In no event shall the Board be obligated unless disbursements have been included within the Board's budget; provided, however, that non-budget disbursements made with the prior written approval of the Board shall be permitted if funds are available in the Terminal Building Revolving Fund, - 4 - Rules of Procedure of the Terminal Building Board of Control 10. Annual Report The Executive Officer shall prepare and disseminate to the Board, quarterly financial reports and on September 1 of each year prepare an Annual Report cover- ing the past fiscal year, which shall be submitted to the City and the Commission. Said report shall contain a summary of Board actions during the preceding fiscal year, a detailed and itemized statement of all revenue and all expenditures made by or on behalf of the Board, such other information as the Board may deem proper or useful, and any additional information which may be requested specifically by the City or Commission . 11 . Revolving Fund and Year-End Adjustments A. Utilizing funds received from the City and the Commission, a Terminal Building Board of Control Revolving Fund has been created under the provisions of Act No. 143 of the Public Acts of 1956, being Sections 259.611 et. seq. of the Compiled Laws of 1948, and deposited in State Treasury by the Board. Advances made by the Commission and City may be repaid from surplus and profits earned by the Board from time to time and in equal amounts; provided, however, that said Revolving Fund shall not be depleted below Fifty Thousand Dollars ($50,000.) by such payments. Monies in the fund shall be held for expenditure by action of the Board to cover any losses, maintenance, equipment, replacements or other operation. B. Within sixty (60) days after the end of each fiscal year, the Executive Officer shall prepare and submit to the Board a year-end Profit and Loss - 5 - Rules of Procedure of the Terminal Building Board of Control Statement, which shall, upon approval by the Board, be transmitted to the City and the Commission. 12. Legal Matters Legal matters connected with the operation of the Terminal Building shall be handled by the Attorney General of the State of Michigan. 13. Other Rules and Regulations The Board hereby ratifies and adopts the Rules and Regulations of the Airport insofar as they apply to the conduct of persons and the handling of vehicles in the Terminal Building. These Rules of Procedure formally adopted by the Terminal Building Board of Control during a regular meeting held in the Terminal Building on January 25, 1967. ""-"5,�4240%-" xecutive O ficer vh - 6 -
